POC LINK TERMS AND CONDITIONS

PLEASE READ THIS POC LINK (“POC LINK” OR “SYSTEM”) TERMS AND CONDITIONS (THE “AGREEMENT”) CAREFULLY BEFORE ACCEPTING IT AND REGISTERING ANY ID NOW (“DEVICE”) AS PER THE PROVIDED INSTRUCTIONS. REGISTRATION OF ANY DEVICE CONSTITUTES YOUR ACCEPTANCE OF THIS AGREEMENT.

THIS AGREEMENT IS A LEGALLY BINDING AGREEMENT BETWEEN THE SYSTEM USER (“YOU” OR “YOUR” OR “CUSTOMER”) AND ABBOTT RAPID DX NORTH AMERICA, LLC (“ABBOTT,” “WE,” OR “US”) (EACH A “PARTY,” AND COLLECTIVELY THE “PARTIES”). BY REGISTERING ANY DEVICE, YOU AFFIRM THAT: (1) YOU ARE 18 YEARS OF AGE OR OLDER; (2) YOU HAVE AUTHORITY ON BEHALF OF THE CUSTOMER, AND YOU ARE AGREEING TO THIS AGREEMENT ON BEHALF OF THE CUSTOMER; AND (3) YOU HAVE READ, UNDERSTAND, AND AGREE THAT YOU ARE BOUND BY THIS AGREEMENT.

IF YOU DO NOT AGREE TO THIS AGREEMENT IN ITS ENTIRETY, DO NOT REGISTER ANY DEVICE. REGISTRATION OR USE OF POC LINK IS NOT REQUIRED FOR YOUR DEVICE(S) TO CONTINUE TO FUNCTION OR RECEIVE ANY SERVICES OR UPDATES YOU MIGHT OTHERWISE BE ENTITLED TO

Definition of scope: Customer understands that POC Link is intended to transmit connected systems operational data, which may be used by Abbott in providing services to Customer for troubleshooting, complaint investigation, performance monitoring, improvement, research, development, inventory management, usage analytics, and other related purposes. In addition, POC Link may be used to send system updates (which may be applied automatically), to provide remote service, and to facilitate Abbott’s delivery of third-party services and products to Customer. The foregoing list of services is for illustration only and does not constitute a promise by Abbott that it will provide said services or the terms on which they may be offered. To the extent Abbott makes services such as system updates and remote service available through POC Link, Customer will have access to those services subject to the terms of this Agreement. Customer will not have access to the data through any means and neither acquires nor retains any rights in the data collected. The data transmitted to Abbott by POC Link will not contain any protected health information (PHI), personally identifiable information (PII), or other confidential information related to physicians and/or patients
Separate Agreement: POC Link is a standalone connectivity solution for ID NOW. This Agreement and your use of POC Link is separate from any other agreement you may have concerning your Device(s), and this Agreement does not modify those other agreements. POC Link is not required for the continued functionality of ID NOW and provides only an alternative connectivity solution for ID NOW. The use of POC Link does not alter any COL-22021-01 08/23 Page 2 of 3 responsibilities either Abbott or Customer might otherwise have under separate agreements, including, but not limited to, Customer’s reporting and maintenance responsibilities.
Grant of Rights to Abbott. You hereby grant to Abbott a world-wide, perpetual, irrevocable, non-exclusive, sub-licensable, right and license to access, use, disclose, copy, distribute, reproduce, modify, adapt, publish, translate, transform, display, and commercialize the data collected and transferred through POC Link (collectively, the “Data”) for the following purposes: (a) to operate POC Link, including, without limitation, to perform all of its features and functions, which may include, without limitation, updates to ID NOW device software and troubleshooting; (b) to further develop and improve POC Link, ID NOW, and other of Abbott’s products and services; (c) to monitor the performance of ID NOW; and (d) to use, share, and commercialize the aggregated, anonymized, or de-identified output for any business purpose as determined by Abbott in its sole discretion, including, without limitation, to build models, algorithms, learnings or intelligence and develop, manufacture, have manufactured, license, market, and sell, directly or indirectly, products and services.
Availability. Abbott does not guarantee that POC Link functions will be uninterrupted or error-free. Abbott disclaims any and all liability and responsibility for the availability, accuracy, and quality of POC Link and the collected data.
Materials. Abbott may have provided you with free-of-charge materials for ID NOW connectivity (e.g., Ethernet cable) to be exclusively used for POC Link connectivity. However, you are free to use your own materials for connectivity based on your preference, technical standards, and/or internal cybersecurity guidelines.
Limitation of Liability. Notwithstanding any losses that you may incur and to the maximum extent permitted by law, except in cases of fraud or willful and wanton misconduct, Abbott, its affiliates, its licensors, and its service providers shall not have any liability to Customer for any losses, damages, or claims in connection with this Agreement, POC Link, or the Data, including but not limited to cases of negligence, data breaches, viruses, or cyberattacks. To the maximum extent permitted by applicable law, in no event shall Abbott, its affiliates, its licensors, and its service providers be liable for any punitive, special, incidental, indirect, or consequential losses or damages of any nature whatsoever; or for any lost revenue, lost profits, or lost business of any nature whatsoever, whether considered as direct or as indirect losses or damages.
Indemnification. You agree to indemnify, defend and hold harmless Abbott, its affiliates, its licensors, its service providers, and its and their respective officers, directors, employees, agents, successors, assignees and licensors from and against any and all claims, demands, liabilities, losses, costs and expenses arising out of or related to your violation of any provision of this Agreement; law, rules, or regulations; or any third-party rights.
Acceptable Use. You shall not use, and shall not permit any third party to use, POC Link to: (a) modify, disassemble, decompile, prepare derivative works of, reverse engineer or otherwise attempt to gain access to the source code of any component of POC Link; (b) build or benchmark a competing product or service; or copy any features or functions of POC Link; or (c) upload any virus, download or access any Data, or otherwise facilitate a COL-22021-01 08/23 Page 3 of 3 data breach or cyberattack on Abbott’s or its affiliates’, licensors’, or service providers’ systems.
Cybersecurity: Abbott shall comply with all applicable laws and regulations governing the use, access, extraction, or transfer of Customer’s data in Abbott’s possession. Abbott shall follow industry standards regarding data privacy and cybersecurity and may leverage external assessors to demonstrate compliance. Abbott shall implement reasonable measures to protect the confidentiality of Customer’s data in Abbott’s possession. In the event of a cybersecurity breach of Customer’s data in Abbott’s possession, or a cybersecurity breach of Customer’s network leveraging Abbott’s access to Customer’s systems, Abbott shall promptly notify the Customer and provide cooperation and assistance in accordance with applicable laws and regulations.
Termination. Abbott has the right to suspend or terminate Your access to POC Link without notice or terminate this Agreement at any time if: (a) You breach any provision of this Agreement; (b) Abbott elects at its sole discretion to decommission POC Link; or (c) in other circumstances and for other reasons determined by Abbott in its sole discretion. All data and materials, including, without limitation, the Data, may be irretrievably deleted by Abbott at its sole discretion.
Governing Law; Exclusive Jurisdiction and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its choice of law principles. The Parties consent to the exclusive jurisdiction and venue of the federal courts of the Northern District of Illinois and, if there is no jurisdiction in federal court, to the exclusive jurisdiction and venue of the state courts in Lake County, Illinois, U.S.
Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law or unenforceable, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of this Agreement will remain in full force and effect.

SI NO ACEPTA ESTE ACUERDO EN SU TOTALIDAD, NO REGISTRE NINGÚN DISPOSITIVO. NO ES REQUISITO EL REGISTRO O USO DE POC LINK PARA QUE SUS DISPOSITIVOS CONTINÚEN FUNCIONANDO O RECIBIENDO CUALQUIER SERVICIO O ACTUALIZACIÓN A LOS QUE DE OTRA MANERA PODRÍA TENER DERECHO.

Definición del alcance: El Cliente entiende que el POC Link tiene la intención de transmitir datos operacionales de los sistemas conectados, que pueden ser usados por Abbott en la prestación de servicios al Cliente para la solución de problemas, investigación de quejas, monitoreo de desempeño, mejora, investigación, desarrollo, administración de inventario, análisis de uso y otros propósitos relacionados. Además, POC Link puede usarse para enviar actualizaciones del sistema (que pueden aplicarse automáticamente), para proporcionar servicio remoto y para que Abbott pueda proporcionar servicios y productos de terceros al Cliente. La lista anterior de servicios es solo ilustrativa y no constituye una promesa por parte de Abbott de que proporcionará dichos servicios o los términos en los que pueden ser ofrecidos. En la medida en que Abbott ponga a disposición servicios tales como actualizaciones del sistema y servicio remoto a través de POC Link, el Cliente tendrá acceso a esos servicios sujeto a los términos de este Acuerdo. Acuerdo separado: POC Link es una solución de conectividad autónoma para ID NOW. Este Acuerdo y su uso de POC Link son independientes de cualquier otro acuerdo que usted pueda tener en relación con sus Dispositivos, y este Acuerdo no modifica esos otros acuerdos. POC Link no es necesario para la funcionalidad continuada de ID NOW y solo proporciona una solución de conectividad alternativa para ID NOW. El uso de POC Link no altera ninguna responsabilidad que Abbott o el Cliente puedan tener bajo acuerdos separados, incluidas, entre otras, las responsabilidades de reporte y mantenimiento del Cliente.
Concesión de derechos a Abbott. Usted por este medio otorga a Abbott un derecho y licencia mundial, perpetua, irrevocable, no exclusiva, sublicenciable, para acceder, usar, revelar, copiar, distribuir, reproducir, modificar, adaptar, publicar, traducir, transformar, mostrar y comercializar los datos recolectados y transferidos a través de POC Link (colectivamente, los "Datos") para los siguientes propósitos: (a) para operar POC Link, lo que incluye, sin limitación, utilizar todas sus características y funciones, que pueden incluir, entre otras, actualizaciones al software del dispositivo ID NOW y solución de problemas; (b) para desarrollar y mejorar POC Link, ID NOW, y otros productos y servicios de Abbott; (c) para monitorear el desempeño de ID NOW; y (d) usar, compartir y comercializar el resultado conjunto, anonimizado o desidentificado para cualquier propósito comercial según lo determine Abbott a su sola discreción, lo que incluye, sin limitación, construir modelos, algoritmos, aprendizajes o inteligencia y desarrollar, fabricar, hacer que se fabriquen, licenciar, comercializar y vender, directa o indirectamente, productos y servicios.

Materiales. Abbott puede haberle proporcionado gratuitamente materiales para la conectividad ID NOW (p. ej., cable Ethernet) para ser usados exclusivamente para la conectividad de POC Link. No obstante, usted es libre de utilizar sus propios materiales para la conectividad en función de sus preferencias, normas técnicas o directrices internas de ciberseguridad.
Limitación de responsabilidad. Independientemente de cualquier pérdida en la que usted pueda incurrir y en la medida máxima permitida por la ley, excepto en casos de fraude o mala conducta intencional y excesiva, Abbott, sus afiliados, sus licenciadores y sus proveedores de servicio no tendrán ninguna responsabilidad con el Cliente por cualquier pérdida, daño o reclamo en conexión con este Acuerdo, POC Link o los Datos, lo que incluye, sin limitación, casos de negligencia, violación de datos, virus o ataques cibernéticos. Indemnización. Usted acepta indemnizar, defender y eximir de responsabilidad a Abbott, sus afiliados, sus licenciadores, sus proveedores de servicios, y sus respectivos funcionarios, directores, empleados, agentes, sucesores, cesionarios y licenciadores de y contra cualquier reclamo, demanda, responsabilidad, pérdida, costo y gasto que surja de o esté relacionado con su violación de cualquier disposición de este Acuerdo; ley, normas o regulaciones; o cualquier derecho de terceros.
Uso aceptable. Usted no utilizará ni permitirá que terceros utilicen POC Link para lo siguiente: (a) modificar, desensamblar, descompilar, preparar trabajos derivados de, realizar ingeniería inversa o de otra manera intentar obtener acceso al código fuente de cualquier componente de POC Link; (b) construir o comparar un producto o servicio competidor; o copiar cualquier característica o función de POC Link; o (c) cargar cualquier virus, descargar o acceder a cualquier Dato, o de otra manera facilitar una violación de datos o ataque cibernético en los sistemas de Abbott o sus afiliados, licenciadores o proveedores de servicios.
Ciberseguridad: Abbott cumplirá con todas las leyes y regulaciones aplicables que rigen el uso, el acceso, la extracción o la transferencia de los datos del Cliente en posesión de Abbott. Abbott seguirá los estándares de la industria en relación con la privacidad de los datos y la ciberseguridad y podrá recurrir a evaluadores externos para demostrar su cumplimiento. Abbott implementará medidas razonables para proteger la confidencialidad de los datos del Cliente en posesión de Abbott. En caso de una violación de ciberseguridad de los datos del Cliente en posesión de Abbott, o una violación de ciberseguridad de la red del Cliente aprovechando el acceso de Abbott a los sistemas del Cliente, Abbott notificará inmediatamente al Cliente y proporcionará cooperación y asistencia de acuerdo con las leyes y regulaciones aplicables.
Rescisión. Abbott tiene el derecho de suspender o cancelar el acceso de Usted a POC Link sin aviso o rescindir este Acuerdo en cualquier momento si: (a) Usted viola cualquier disposición de este Acuerdo; (b) Abbott elige a su sola discreción decomisar POC Link; o (c) en otras circunstancias y por otras razones determinadas por Abbott a su sola discreción. Todos los datos y materiales, incluidos, entre otros, los Datos, pueden ser borrados irremediablemente por Abbott a su sola discreción.
Ley aplicable; jurisdicción y competencia exclusivas. El presente Acuerdo se regirá e interpretará de conformidad con las leyes del Estado de Illinois, sin tener en cuenta los principios de elección de la ley aplicable. Las Partes se someten a la jurisdicción y competencia exclusivas de los tribunales federales del Distrito Norte de Illinois y, en caso de no existir jurisdicción en los tribunales federales, a la jurisdicción y competencia exclusivas de los tribunales estatales del Condado de Lake, Illinois, EE. UU.
Divisibilidad. Si un tribunal competente considera que alguna de las disposiciones del presente Acuerdo es contraria a la ley o inaplicable, dicha disposición se modificará e interpretará de modo que cumpla mejor los objetivos de la disposición original en la medida en que lo permita la ley, y las demás disposiciones del presente Acuerdo seguirán en pleno vigor y efecto.
