POC LINK TERMS AND CONDITIONS

PLEASE READ THIS POC LINK (“POC LINK” OR “SYSTEM”) TERMS AND CONDITIONS (THE “AGREEMENT”) CAREFULLY BEFORE ACCEPTING IT AND REGISTERING ANY ID NOW (“DEVICE”) AS PER THE PROVIDED INSTRUCTIONS. REGISTRATION OF ANY DEVICE CONSTITUTES YOUR ACCEPTANCE OF THIS AGREEMENT.

THIS AGREEMENT IS A LEGALLY BINDING AGREEMENT BETWEEN THE SYSTEM USER (“YOU” OR “YOUR” OR “CUSTOMER”) AND ABBOTT RAPID DX NORTH AMERICA, LLC (“ABBOTT,” “WE,” OR “US”) (EACH A “PARTY,” AND COLLECTIVELY THE “PARTIES”). BY REGISTERING ANY DEVICE, YOU AFFIRM THAT: (1) YOU ARE 18 YEARS OF AGE OR OLDER; (2) YOU HAVE AUTHORITY ON BEHALF OF THE CUSTOMER, AND YOU ARE AGREEING TO THIS AGREEMENT ON BEHALF OF THE CUSTOMER; AND (3) YOU HAVE READ, UNDERSTAND, AND AGREE THAT YOU ARE BOUND BY THIS AGREEMENT.

IF YOU DO NOT AGREE TO THIS AGREEMENT IN ITS ENTIRETY, DO NOT REGISTER ANY DEVICE. REGISTRATION OR USE OF POC LINK IS NOT REQUIRED FOR YOUR DEVICE(S) TO CONTINUE TO FUNCTION OR RECEIVE ANY SERVICES OR UPDATES YOU MIGHT OTHERWISE BE ENTITLED TO.

Definition of scope. Customer understands that POC Link is intended to transmit connected systems operational data, which may be used by Abbott in providing services to Customer for troubleshooting, complaint investigation, performance monitoring, improvement, research, development, inventory management, usage analytics, and other related purposes. In addition, POC Link may be used to send system updates (which may be applied automatically), to provide remote service, and to facilitate Abbott’s delivery of third-party services and products to Customer. The foregoing list of services is for illustration only and does not constitute a promise by Abbott that it will provide said services or the terms on which they may be offered. To the extent Abbott makes services such as system updates and remote service available through POC Link, Customer will have access to those services subject to the terms of this Agreement. Customer will not have access to the data through any means and neither acquires nor retains any rights in the data collected. The data transmitted to Abbott by POC Link will not contain any protected health information (PHI), personally identifiable information (PII), or other confidential information related to physicians and/or patients. POC Link may be connected through a remote access gateway device (“Gateway Device”) which allows Abbott to remotely access the ID NOW devices through a direct cellular connection; therefore, it enables direct transmission of Customer data from the ID NOW devices to the POC Link without any connection with the Customer's network.
Separate Agreement: POC Link is a standalone connectivity solution for ID NOW. This Agreement and your use of POC Link is separate from any other agreement you may have concerning your Device(s), and this Agreement does not modify those other agreements. POC Link is not required for the continued functionality of ID NOW and provides only an alternative connectivity solution for ID NOW. The use of POC Link does not alter any responsibilities either Abbott or Customer might otherwise have under separate agreements, including, but not limited to, Customer’s reporting and maintenance responsibilities.
Grant of Rights to Abbott. You hereby grant to Abbott a world-wide, perpetual, irrevocable, non-exclusive, sub-licensable, transferrable right and license to access, use, disclose, copy, distribute, reproduce, modify, adapt, publish, translate, transform, display, and commercialize the data collected and transferred through POC Link (collectively, the “Data”) for the following purposes: (a) to operate POC Link, including, without limitation, to perform all of its features and functions, which may include, without limitation, updates to ID NOW device software and troubleshooting; (b) to further develop and improve POC Link, ID NOW, and other of Abbott’s products and services; (c) to monitor the performance of ID NOW; and (d) to use, share, and commercialize the aggregated, anonymized, or de-identified output for any business purpose as determined by Abbott in its sole discretion, including, without limitation, to build models, algorithms, learnings or intelligence and develop, manufacture, have manufactured, license, market, and sell, directly or indirectly, products and services.
Availability. Abbott does not guarantee that POC Link, and/or Abbott-provided Connectivity Materials functions will be uninterrupted or error-free. Abbott disclaims any and all liability and responsibility for the availability, accuracy, and quality of POC Link, Abbott-provided Connectivity Materials and/or the collected data.
Materials. Abbott may provide you with free-of-charge materials for ID NOW connectivity, such as a Gateway Device, Ethernet cable, Wi-Fi Dongle, or the like, (collectively, “Abbott-provided Connectivity Materials”) to be exclusively used for POC Link connectivity. However, you are free to use your own materials for connectivity based on your preference, technical standards, and/or internal cybersecurity guidelines.
Gateway Device and Cellular Data connection option. Abbott may provide Customer, for Customer’s own use solely in connection with ID NOW equipment, the Abbott-owned equipment Gateway Device(s) to enable transmission of Customer data from the ID NOW to POC Link. The Gateway Device allows Abbott to remotely access ID NOW devices through a direct cellular connection, without interference with Customer’s network. Abbott is the owner of, and retains title to, any Gateway Device(s) provided to Customer. Upon termination of this Agreement, or any agreement related to the ID NOW equipment, or if Customer stops using POC Link, Abbott reserves the right to request that Customer return any Gateway Device(s) or give guidance to Customer on how to properly dispose of any Gateway Device(s). If returning Gateway Device(s), Customer shall carefully pack and return Gateway Device(s) to Abbott or permit Abbott to enter the facility and remove the Gateway Devices, as Abbott determines. The Gateway Device(s) internet connectivity is provided by a third-party cellular carrier. The placement of the Gateway in an area with inconsistent or no cellular coverage can negatively impact product connectivity. Customer should place the Gateway Device(s) in an area that receives a sufficient level of coverage from the third-party cellular carrier. The Gateway Device(s) shall be used solely in connection with the ID NOW devices and Customer shall not connect the Gateway Device(s) to any other instrument or device, use for any other purpose, or remove, transfer, or alter the Gateway Device(s) without Abbott’s prior written consent. Customer acknowledges that Abbott is not the manufacturer of the Gateway Device(s) or provider of cellular data support. Abbott is not responsible for third-party carrier outages that could impact product connectivity through the Gateway Device(s). Abbott makes no representations or warranties related to the ability of the Gateway Device(s) or SIM card and cellular data to address, prevent, handle, or respond to vulnerabilities or defects, whether hardware or software. Abbott’ responsibilities and liability in relation to the Gateway Device are subject to any limitations of liabilities which are contained in Agreement.
Limited Warranty. Customer is responsible for loss or damage of any Abbott-provided Connectivity Materials, including a Gateway Device or Wi-Fi Dongle. Abbott is not obligated to replace any lost, inoperable, or damaged Abbott-provided Connectivity Materials and any such replacement is at Abbott’s sole discretion. Abbott reserves the right to charge additional fees to cover the costs of any replacement of the Abbott-provided Connectivity Materials should Abbott, at Abbott’s sole discretion, send such a replacement upon Customer request. To the maximum extent permitted by law, Abbott expressly disclaims any warranty for the POC Link and any Abbott-provided Connectivity Materials. The POC Link and any Abbott-provided Connectivity Materials are provided "AS IS", without warranty of any kind, either express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. You assume the entire risk arising out of the use or performance of POC Link and any Abbott-provided Connectivity Materials.
Limitation of Liability. Notwithstanding any losses that you may incur and to the maximum extent permitted by law, except in cases of fraud or willful and wanton misconduct, Abbott, its affiliates, its licensors, and its service providers shall not have any liability to Customer for any losses, damages, or claims in connection with this Agreement, POC Link, Abbott-Provided Connectivity Materials, or the Data, including but not limited to cases of negligence, data breaches, viruses, or cyberattacks. To the maximum extent permitted by applicable law, in no event shall Abbott, its affiliates, its licensors, and its service providers be liable for any punitive, special, incidental, indirect, or consequential losses or damages of any nature whatsoever; or for any lost revenue, lost profits, or lost business of any nature whatsoever, whether considered as direct or as indirect losses or damages.
Indemnification. You agree to indemnify, defend and hold harmless Abbott, its affiliates, its licensors, its service providers, and its and their respective officers, directors, employees, agents, successors, assignees and licensors from and against any and all claims, demands, liabilities, losses, costs and expenses arising out of or related to your violation of any provision of this Agreement; law, rules, or regulations; or any third-party rights.
Acceptable Use. You shall not use, and shall not permit any third party to use, POC Link, including any Abbott-provided Connectivity Materials to: (a) modify, disassemble, decompile, prepare derivative works of, reverse engineer or otherwise attempt to gain access to the source code of any component of POC Link; (b) build or benchmark a competing product or service; or copy any features or functions of POC Link; (c) upload any virus, download or access any Data, or otherwise facilitate a data breach or cyberattack on Abbott’s or its affiliates’, licensors’, or service providers’ systems; and/or (d) modify, disassemble, decompile, prepare derivative works of, reverse engineer any Abbott-provided Connectivity Materials. Nothing herein shall be deemed to constitute, by implication or otherwise, the grant to You by Abbott or its affiliates of any license or other rights under any intellectual property right or any other rights except as explicitly set forth herein. You shall not use the name of Abbott or its affiliates or any derivative thereof in any publication or presentation without the prior written consent from Abbott.
Cybersecurity. Abbott shall comply with all applicable laws and regulations governing the use, access, extraction, or transfer of Customer’s data in Abbott’s possession. Abbott shall follow industry standards regarding data privacy and cybersecurity and may leverage external assessors to demonstrate compliance. Abbott shall implement reasonable measures to protect the confidentiality of Customer’s data in Abbott’s possession. In the event of a cybersecurity breach of Customer’s data in Abbott’s possession, or a cybersecurity breach of Customer’s network leveraging Abbott’s access to Customer’s systems, Abbott shall promptly notify the Customer and provide cooperation and assistance in accordance with applicable laws and regulations. If a Gateway Device is used, it connects the ID NOW devices through a cellular network and does not connect to Customer’s network, and Abbott disclaims any liability for data transmitted through cellular network.
Termination. Abbott has the right to suspend or terminate Your access to POC Link, or to demand You stop the use of any connectivity device, even Abbott-provided Connectivity Materials, without notice or terminate this Agreement at any time if: (a) You breach any provision of this Agreement; (b) Abbott elects at its sole discretion to decommission POC Link; or (c) in other circumstances and for other reasons determined by Abbott in its sole discretion. All data and materials, including, without limitation, the Data, may be irretrievably deleted by Abbott at its sole discretion.
Governing Law; Exclusive Jurisdiction and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its choice of law principles. The Parties consent to the exclusive jurisdiction and venue of the federal courts of the Northern District of Illinois and, if there is no jurisdiction in federal court, to the exclusive jurisdiction and venue of the state courts in Lake County, Illinois, U.S.
Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law or unenforceable, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of this Agreement will remain in full force and effect.

TÉRMINOS Y CONDICIONES DE POC LINK

LEA ATENTAMENTE LOS PRESENTES TÉRMINOS Y CONDICIONES (EL "ACUERDO") DE POC LINK ("POC LINK" O "SISTEMA") ANTES DE ACEPTARLOS Y REGISTRAR CUALQUIER DISPOSITIVO ID NOW ("DISPOSITIVO") SEGÚN LAS INSTRUCCIONES PROPORCIONADAS. EL REGISTRO DE CUALQUIER DISPOSITIVO CONSTITUYE LA ACEPTACIÓN DE ESTE ACUERDO POR SU PARTE.

ESTE ACUERDO ES UN ACUERDO LEGALMENTE VINCULANTE ENTRE EL USUARIO DEL SISTEMA ("USTED", "SU" O "CLIENTE") Y ABBOTT RAPID DX NORTH AMERICA, LLC ("ABBOTT", "NOSOTROS" O "NOS") (REFERIDOS DE MANERA INDIVIDUAL COMO "PARTE" Y COMO LAS "PARTES" EN CONJUNTO). AL REGISTRAR CUALQUIER DISPOSITIVO, DECLARA QUE: (1) TIENE 18 AÑOS O MÁS; (2) ESTÁ AUTORIZADO A ACTUAR EN NOMBRE DEL CLIENTE Y ACEPTA ESTE ACUERDO EN SU NOMBRE; Y (3) HA LEÍDO, ENTENDIDO Y ACEPTA QUE QUEDA OBLIGADO POR ESTE ACUERDO.

SI NO ACEPTA ESTE ACUERDO EN SU TOTALIDAD, NO REGISTRE NINGÚN DISPOSITIVO. NO ES NECESARIO REGISTRAR O USAR POC LINK PARA QUE SUS DISPOSITIVOS SIGAN FUNCIONANDO O RECIBAN CUALQUIER SERVICIO O ACTUALIZACIÓN A LOS QUE TENDRÍA DERECHO DE OTRO MODO.

Definición del ámbito de aplicación. El Cliente comprende que POC Link se ha diseñado para transmitir datos de funcionamiento de los sistemas conectados, los cuales pueden servir a Abbott para proporcionar servicios al Cliente para la resolución de problemas, la investigación de quejas, la supervisión del rendimiento, la mejora, la investigación, el desarrollo, la gestión de inventario, el análisis de uso y otros fines relacionados. Además, POC Link puede utilizarse para enviar actualizaciones del sistema (que pueden aplicarse automáticamente), proporcionar servicio técnico de forma remota y facilitar servicios y productos de terceros al Cliente por parte de Abbott. La lista de servicios anterior se cita con fines meramente ilustrativos y no constituye una promesa por parte de Abbott de que se proporcionarán dichos servicios ni de los términos en los que puedan ofrecerse. En la medida en que Abbott ofrezca servicios tales como actualizaciones del sistema y servicio técnico remoto a través de POC Link, el Cliente tendrá acceso a dichos servicios, los cuales estarán sujetos a los términos de este Acuerdo. El Cliente no tendrá acceso a los datos a través de ningún medio ni adquiere o conserva ningún derecho sobre los datos recopilados. Los datos transmitidos a Abbott a través de POC Link no contendrán información médica protegida, información de identificación personal ni otra información confidencial relacionada con médicos o pacientes. POC Link se puede conectar a través de un dispositivo de puerta de enlace de acceso remoto ("Dispositivo de puerta de enlace") que permite a Abbott acceder de forma remota a los dispositivos ID NOW mediante una conexión móvil directa; por lo tanto, permite la transmisión directa de datos del Cliente desde los dispositivos ID NOW al POC Link sin conectarse a la red del Cliente.
Acuerdo independiente: POC Link es una solución de conectividad para ID NOW independiente. Este Acuerdo y su uso de POC Link se consideran independientes de cualquier otro acuerdo que le vincule relativo a sus Dispositivos, y el presente Acuerdo no modificará dichos acuerdos. POC Link no es necesario para el funcionamiento continuado de ID NOW y solo proporciona una solución de conectividad alternativa para ID NOW. El uso de POC Link no modifica ninguna responsabilidad que tanto Abbott como el Cliente pudieran haber contraído en acuerdos independientes, incluidas, entre otras, las responsabilidades por parte del Cliente de elaborar informes y realizar el mantenimiento.
Concesión de derechos a Abbott. Por la presente, otorga a Abbott un derecho y una licencia mundiales, perpetuos, irrevocables, no exclusivos, sublicenciables y transferibles para acceder, usar, divulgar, copiar, distribuir, reproducir, modificar, adaptar, publicar, traducir, transformar, exhibir y comercializar los datos recopilados y transferidos a través de POC Link (denominados en conjunto, los "Datos") para los siguientes fines: (a) utilizar POC Link, que incluye, sin limitación, ejecutar todas sus características y funciones, entre las cuales figuran las actualizaciones del software del dispositivo ID NOW y la resolución de problemas; (b) desarrollar y mejorar más aún POC Link, ID NOW y otros productos y servicios de Abbott; (c) supervisar el rendimiento de ID NOW; y (d) usar, compartir y comercializar los resultados agregados, anonimizados o desidentificados con fines empresariales como determine Abbott a su entera discreción y que incluyen, entre otros, construir modelos, algoritmos, conocimientos o inteligencia y desarrollar, fabricar, hacer fabricar, proporcionar licencia, comercializar y vender, directa o indirectamente, productos y servicios.
Disponibilidad. Abbott no garantiza que las funciones de POC Link o de los Materiales de conectividad proporcionados por Abbott estén libres de errores y no sufran interrupciones. Abbott renuncia a toda responsabilidad relacionada con la disponibilidad, precisión y calidad de POC Link, de los Materiales de conectividad facilitados por Abbott o de los datos recopilados.
Materiales. Abbott puede proporcionarle materiales gratuitos para la conectividad de ID NOW, como un Dispositivo de puerta de enlace, un cable Ethernet, una llave wifi o similar (en conjunto, denominados "Materiales de conectividad proporcionados por Abbott") para que los utilice de manera exclusiva para conectarse a POC Link. No obstante, es libre de utilizar sus propios materiales de conectividad según sus preferencias, estándares técnicos o pautas internas de ciberseguridad.
Opción de conexión de Dispositivo de puerta de enlace y Datos móviles. Abbott puede proporcionar al Cliente los Dispositivos de puerta de enlace, propiedad de Abbott, que habiliten la transmisión de datos del Cliente desde ID NOW a POC Link para su propio uso exclusivo y vinculado al equipo ID NOW. El Dispositivo de puerta de enlace permite que Abbott acceda de forma remota a los dispositivos ID NOW a través de una conexión móvil directa, sin que intervenga la red del Cliente. Abbott es el propietario, y conserva la titularidad, de todos los Dispositivos de puerta de enlace proporcionados al Cliente. Con posterioridad al vencimiento del presente Acuerdo, o de cualquier otro acuerdo relacionado con el equipo ID NOW, o si el Cliente deja de utilizar POC Link, Abbott se reserva el derecho a solicitar que el Cliente devuelva cualquier Dispositivo de puerta de enlace, o bien guiar al Cliente sobre cómo desecharlo de manera adecuada. Si se van a devolver los Dispositivos de puerta de enlace, el Cliente deberá empaquetarlos con cuidado y devolvérselos a Abbott o permitir que Abbott acceda a las instalaciones y retire los Dispositivos de puerta de enlace, según lo determine Abbott. Una compañía de telefonía móvil de terceros proporciona conectividad a Internet a los Dispositivos de puerta de enlace. La ubicación de la Puerta de enlace en un área con cobertura móvil irregular o nula puede afectar negativamente a la conectividad del producto. El Cliente debe colocar los Dispositivos de puerta de enlace en un área que reciba un nivel de cobertura suficiente por parte de la compañía de telefonía móvil de terceros. Los Dispositivos de puerta de enlace solo se utilizarán para los dispositivos ID NOW y el Cliente no podrá conectar los Dispositivos de puerta de enlace a ningún otro instrumento o dispositivo, utilizarlos para ningún otro propósito ni retirarlos, trasladarlos o modificarlos sin el previo consentimiento por escrito de Abbott. El Cliente admite que Abbott no es el fabricante de los Dispositivos de puerta de enlace ni el proveedor de asistencia técnica para datos móviles. Abbott no es responsable de las interrupciones de los servicios de terceros que puedan afectar a la conectividad del producto a través de los Dispositivos de puerta de enlace. Abbott no realiza declaraciones ni ofrece garantías relacionadas con la capacidad de los Dispositivos de puerta de enlace o de la tarjeta SIM y los datos móviles para afrontar, evitar, gestionar o responder a vulnerabilidades o defectos, ya sean de hardware o de software. Las responsabilidades de Abbott vinculadas al Dispositivo de puerta de enlace están sujetas a la limitación de responsabilidad incluida en el presente Acuerdo.
Garantía limitada. El Cliente es responsable de la pérdida o el daño de cualquier Material de conectividad proporcionado por Abbott, incluidos el Dispositivo de puerta de enlace o la llave wifi. Abbott no está obligado a sustituir ningún Material de conectividad proporcionado por Abbott que se haya perdido, no funcione o esté dañado y dicho reemplazo se realizará según el exclusivo criterio de Abbott. Abbott se reserva el derecho a cobrar gastos adicionales para cubrir los costes de sustitución de los Materiales de conectividad proporcionados por Abbott en el caso de que Abbott, a su entera discreción, decidiese enviar dicho reemplazo tras la solicitud del Cliente. Hasta el grado máximo permitido por la ley, Abbott renuncia de manera expresa a cualquier garantía sobre POC Link y los Materiales de conectividad proporcionados por Abbott. Tanto POC Link como cualquier Material de conectividad proporcionado por Abbott se proporcionan "TAL CUAL", sin garantía de ningún tipo, ya sea expresa o implícita, incluidas, entre otras, las garantías implícitas de comerciabilidad, idoneidad para un fin determinado y de no violación. Usted asume todo el riesgo derivado del uso o funcionamiento de POC Link y de cualquier Material de conectividad proporcionado por Abbott.
Limitación de responsabilidad. Sin perjuicio de cualquier pérdida en la que pueda incurrir y en la máxima medida permitida por la ley, excepto en casos de fraude o conducta impropia intencional deliberada y temeraria, Abbott, sus afiliados, sus licenciantes y sus proveedores de servicios no tendrán ninguna responsabilidad ante el Cliente por pérdidas, daños o reclamaciones en relación con este Acuerdo, POC Link, los Materiales de conectividad proporcionados por Abbott o los Datos; incluidos, entre otros, los casos de negligencia, filtración de datos, virus o ciberataques. Dentro de la interpretación más amplia que permitan las leyes, en ningún caso Abbott, sus afiliados, sus licenciantes y sus proveedores de servicios serán responsables de pérdidas o daños punitivos, especiales, incidentales, indirectos o derivados de ninguna naturaleza; o de cualquier pérdida de ingresos, ganancias o negocios de ningún tipo, ya se consideren pérdidas o daños directos o indirectos.
Indemnización. Acepta indemnizar, defender y eximir de responsabilidad a Abbott, sus afiliados, sus licenciantes, sus proveedores de servicios y sus respectivos directores, administradores, empleados, agentes, sucesores, cesionarios y licenciantes en lo que respecta a cualquier reclamación, demanda, responsabilidad, pérdida, coste y gasto que surja o esté relacionado con el incumplimiento de cualquier cláusula de este Acuerdo; leyes, normas o regulaciones; o cualquier derecho de terceros.
Uso aceptable. No deberá utilizar, ni permitir que ningún tercero utilice, POC Link ni ningún Material de conectividad proporcionado por Abbott para: (a) modificar, desmontar, descompilar, preparar trabajos derivados, realizar ingeniería inversa o intentar, en modo alguno, obtener acceso al código fuente de cualquier componente de POC Link; (b) construir o comparar con un producto o servicio de la competencia; o copiar cualquier característica o función de POC Link; (c) cargar cualquier virus, descargar o acceder a cualquier Dato o facilitar, de otro modo, una filtración de datos o un ciberataque en los sistemas de Abbott, sus afiliados, licenciantes o proveedores de servicios; y (d) modificar, desmontar, descompilar, preparar trabajos derivados o realizar ingeniería inversa de cualquier Material de conectividad proporcionado por Abbott. Ninguna disposición del presente documento deberá interpretarse, ya sea implícitamente o de otro modo, como que se le otorga a Usted alguna licencia o derecho conforme a los derechos de propiedad intelectual, o de cualquier otro tipo, por parte de Abbott o de sus afiliados, con excepción de lo dispuesto expresamente en este documento. No deberá utilizar el nombre de Abbott o de sus afiliados ni ningún derivado de los mismos en ninguna publicación o presentación sin el consentimiento previo por escrito de Abbott.
Ciberseguridad. Abbott deberá cumplir todas las leyes y regulaciones aplicables que rigen el uso, el acceso, la extracción o la transferencia de datos del Cliente que estén en posesión de Abbott. Abbott deberá respetar los estándares del sector en materia de privacidad de datos y ciberseguridad y podrá recurrir a evaluadores externos para demostrar su cumplimiento. Abbott implementará medidas razonables para proteger la confidencialidad de los datos del Cliente que estén en posesión de Abbott. En el caso de que se infrinja la ciberseguridad de los datos del Cliente en posesión de Abbott, o que se infrinja la ciberseguridad de la red del Cliente aprovechando el acceso de Abbott a los sistemas del Cliente, Abbott se lo notificará de inmediato al Cliente y ofrecerá su cooperación y ayuda de conformidad con las leyes y regulaciones aplicables. Si se utiliza un Dispositivo de puerta de enlace que conecta los dispositivos ID NOW a través de una red de datos móviles y no a la red del Cliente, Abbott no asumirá ninguna responsabilidad por los datos transmitidos a través de la red móvil.
Resolución. Abbott tiene derecho a suspender o finalizar Su acceso a POC Link, o a solicitarle que deje de usar cualquier dispositivo de conectividad, incluso los Materiales de conectividad proporcionados por Abbott, sin previo aviso o a rescindir este Acuerdo en cualquier momento si: (a) Usted incumple cualquier cláusula de este Acuerdo; (b) Abbott decide, a su entera discreción, retirar POC Link; o (c) se dan otras circunstancias y otros motivos determinados por Abbott a su juicio. Según su absoluto criterio, Abbott podrá eliminar todos los datos y materiales sin posibilidad de recuperarlos, incluidos, entre otros, los Datos.
Legislación vigente; competencia y jurisdicción exclusivas. Este Acuerdo se regirá e interpretará de conformidad con las leyes del estado de Illinois sin tener en cuenta sus principios de conflicto de leyes. Las Partes dan su consentimiento para la jurisdicción y competencia exclusivas de los tribunales federales del Distrito Norte de Illinois y, si no hay jurisdicción en un tribunal federal, acceden a la jurisdicción y competencia exclusivas de los tribunales estatales del condado de Lake, Illinois (EE. UU.).
Divisibilidad. Si un tribunal de jurisdicción competente considera que alguna cláusula del presente Acuerdo es contraria a la ley o no es susceptible de ejecución, dicha cláusula se modificará e interpretará de forma que cumpla mejor los objetivos de la cláusula original en la máxima medida permitida por la ley y las demás cláusulas de este Acuerdo permanecerán en pleno vigor y efecto.
